Terms and Conditions of Sale and Use

Note: These Terms apply to customers in both the United Kingdom and the United States. Sorelyne is a company registered in the State of Washington, United States. Where a clause below refers to a specific legal basis, the applicable note explains how it applies in each country.

1. Scope

These Terms and Conditions apply to all orders placed by consumers or businesses through the Sorelyne online shop.

A 'Consumer' is any individual who enters into a contract for purposes that are outside their trade, business, craft, or profession. A 'Trader' (or 'business customer') is any individual or entity that enters into the contract in the course of their trade, business, craft, or profession. These definitions reflect the terms used in the UK Consumer Rights Act 2015; US law does not use an identical statutory definition, but state consumer-protection laws generally draw the same practical distinction between personal/household use and business use.

Any differing terms proposed by the customer do not become part of the contract unless Sorelyne has expressly agreed to them.

2. Contracting Party

The purchase contract is concluded with the operator of the Sorelyne online shop.

3. Product Descriptions

The display of products in the online shop does not, in itself, constitute a legally binding offer, but rather an invitation for the customer to place an order.

Product images are for illustrative purposes. Differences in colour and appearance may occur due to screen settings, lighting conditions, or production variations.

The essential characteristics, sizes, variants, and available versions are set out in the relevant product description.

4. Order Process and Conclusion of Contract

The customer may select products and add them to the shopping cart.

Before submitting the order, the customer can review and correct their entries.

By clicking the final order button, the customer submits a binding offer to purchase the items contained in the shopping cart.

The contract is concluded when Sorelyne:

• expressly accepts the order;
• sends a shipping confirmation;
• ships the goods; or
• collects payment,

whichever of these events occurs first.

An automatically sent order confirmation initially documents only receipt of the order, unless it also expressly states acceptance.

5. Contract Language and Contract Text

The language of the contract is English.

Order data is stored to the extent permitted by law and technically possible.

The customer receives the essential order information by email. Customers with a customer account may additionally be able to view their orders in their account area.

It is recommended that the order confirmation and these Terms be saved.

6. Prices

All prices displayed in the online shop for UK orders are shown in pounds sterling (£); prices for US orders are shown in US dollars ($).

For UK customers, displayed prices include UK VAT where legally required. For US customers, displayed prices do not include sales tax, which is calculated and added at checkout based on the applicable state and local tax rate for the delivery address, as is standard practice for US e-commerce.

Additional shipping costs, customs duties, import charges, or other fees are shown, where applicable and known, before the order is completed or at checkout.

The total price applicable to the order is displayed before the binding order is submitted.

7. Payment

The available payment methods are shown at checkout.

Payment becomes due according to the payment method selected.

Sorelyne may use payment service providers to process payment. Processing may additionally be subject to the terms of the relevant payment service provider.

Where payment cannot be successfully completed, there is no entitlement to shipment of the goods.

Sorelyne reserves the right to refuse or cancel orders where there is reasonable suspicion of fraud, misuse, identity theft, or unauthorised payment.

8. Delivery

Delivery is made to the delivery address provided by the customer during the order process.

The customer is responsible for providing complete and accurate address details.

Information on delivery area, shipping costs, processing time, and estimated delivery time is set out in the Shipping Policy, the product page, checkout, or the order confirmation.

Delivery time estimates are only binding guarantees where they are expressly described as such.

In the event of unexpected delivery delays, the customer is informed to the extent reasonably possible.

9. Partial Deliveries

Sorelyne is entitled to make partial deliveries, provided this is reasonable for the customer.

The customer will not incur any additional shipping costs as a result of a partial delivery initiated by Sorelyne, unless expressly agreed before the conclusion of the contract.

10. Delivery Obstacles

If an ordered item is permanently unavailable for reasons for which Sorelyne is not responsible, Sorelyne may withdraw from the contract, provided a corresponding procurement transaction was entered into beforehand and Sorelyne did not cause the unavailability.

The customer will be informed without delay. Any payments already made will be refunded, in the currency originally charged (£ for UK orders, $ for US orders), using the original payment method.

The customer's statutory rights remain unaffected.

11. Retention of Title

The delivered goods remain the property of the seller until paid for in full.

For business customers, the applicable statutory provisions on retention of title additionally apply.

12. Right of Withdrawal

For UK customers, consumers generally have the statutory right of withdrawal described below. For US customers, there is no equivalent federal statutory right for online purchases; Sorelyne offers the same withdrawal period voluntarily, as a store policy.

13. Warranty

For UK customers, statutory rights apply under the Consumer Rights Act 2015. If the delivered goods are faulty, the consumer may, depending on the circumstances, be entitled to a repair or replacement, a price reduction, rejection of the goods for a refund (including a short-term right to reject within the first 30 days for most goods), or, in some cases, damages.

For US customers, warranty protection is instead based on the implied warranties available under the Uniform Commercial Code as adopted in the applicable state (such as the implied warranty of merchantability), and, where Sorelyne provides a written warranty for a specific product, the federal Magnuson-Moss Warranty Act. Available remedies and time limits vary by state.

A repair or replacement remedy may be provided where the goods are found to be faulty. Where this remedy fails, is impossible, or is unreasonable, further rights may be available, in particular a price reduction, rejection of the contract, or damages, as applicable under the law governing the customer's purchase.

An additional voluntary guarantee exists only where expressly offered for the relevant product. Voluntary guarantees do not limit the customer's statutory rights.

14. Liability

Sorelyne's liability is unlimited:

• in cases of intent and gross negligence;
• for damages arising from injury to life, body, or health;
• under mandatory statutory liability provisions;
• to the extent of any expressly assumed guarantee.

For a slightly negligent breach of a material contractual obligation, liability is limited to the foreseeable damage typical for this type of contract.

Material contractual obligations are obligations whose fulfilment is essential to the proper performance of the contract and on whose observance the customer may regularly rely.

Otherwise, liability for slight negligence is excluded, to the extent permitted by law.

The foregoing liability provisions apply equally to Sorelyne's employees, representatives, and agents.

15. Use of the Online Shop

The online shop may only be used for lawful purposes.

In particular, the following are prohibited:

• fraudulent or abusive orders;
• the use of false identity or payment information;
• technical attacks on the online shop;
• the introduction of malicious software;
• automated access that impairs operation;
• circumvention of security measures;
• unauthorised reproduction of content;
• use of the shop to infringe the rights of third parties.

Sorelyne may block access or refuse orders where there are concrete indications of unlawful or abusive use.

16. Vouchers, Discounts, and Promotions

Vouchers and discount codes are subject to the conditions specified for each.

Unless expressly stated otherwise:

• discount codes are not redeemable for cash;
• they are valid only during the specified promotional period;
• they cannot be applied retroactively to already completed orders;
• multiple discount codes cannot be combined;
• they do not apply to shipping costs;
• certain products or collections may be excluded.

Statutory rights and claims remain unaffected.

17. Reviews and User-Generated Content

Where customers submit reviews, images, or other content, such content must be truthful and must not infringe the rights of third parties.

In particular, content that is unlawful, offensive, discriminatory, misleading, or infringes copyright is not permitted.

Sorelyne may remove unlawful or irrelevant content, to the extent legally permitted.

Reviews must not be manipulated in a misleading way or presented as a genuine customer review where no corresponding purchase experience exists.

18. Intellectual Property

Text, designs, logos, graphics, images, videos, and other content of the online shop are legally protected, unless stated otherwise.

Reproduction, editing, distribution, or commercial use without prior consent is not permitted, unless a statutory exception applies.

19. Consumer Dispute Resolution

For UK customers: Sorelyne is not obliged, and does not currently intend, to participate in proceedings before a UK consumer Alternative Dispute Resolution (ADR) body, unless a differing legal obligation applies to the relevant product category. Consumers may raise questions or complaints directly with Sorelyne in the first instance, and may separately consult Citizens Advice or the Competition and Markets Authority for general guidance on their rights.

For US customers: Sorelyne is not obliged to participate in any third-party consumer arbitration or mediation scheme unless required by applicable state law. Consumers may raise questions or complaints directly with Sorelyne in the first instance, or with their state Attorney General's consumer protection office.

20. Governing Law

For UK customers, this choice of law does not deprive you of the protection of any mandatory consumer-protection rules of the United Kingdom, where those rules would otherwise apply to your purchase.

These Terms are governed by the laws of the State of Washington, United States, excluding its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

For consumers, this choice of law applies only to the extent that it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence.

21. Jurisdiction

For consumers, the applicable statutory rules on jurisdiction apply, including the consumer's right to bring proceedings in the courts of their own country of residence, where mandatory law so provides.

Where the customer is a merchant, a legal entity under public law, or a public special fund, the courts at Sorelyne's place of business in Washington, United States, may be agreed as the competent jurisdiction, to the extent legally permitted.

22. Severability

Should any individual provisions of these Terms be or become invalid, in whole or in part, the validity of the remaining provisions shall remain unaffected.

The invalid provision shall be replaced by the applicable statutory provisions.

23. Changes to These Terms

The Terms that were published at the time the contract was concluded apply to that order.

Sorelyne may amend these Terms for future orders where required due to legal, technical, or operational changes.
